A: Your selling offer sounds good, but we'd like to place some of the details under negotiation.
B: We understand that our selling offer was simply to open the negotiations. Can you give us the details of your counter offer?
A: Well, in our buying offer we would like to ask for 10 percent off your prices if we place orders over 5000 units per month.
B: Well, that sounds reasonable, but I can't make a decision yet. I must discuss it with my boss.
A: That's fine. But I must point out that the offer is only valid until the end of the month.
B: I understand fully. I promise to get back to you as soon as possible with a counter offer.
A: I must make it clear that there can be no counter offer. The answer must be either yes or no. If no, we'll look for another supplier.

"offer",‘報價’;"selling offer",又稱"offer to sell",是指賣方為銷售貨物,主動發(fā)給買方的報價。一般報價,大多是如此。
counter offer 反報價;還價
"counter",形容詞,意思是‘相反的、相對的’。‘反報價’是指被報價人不能完全接受報價人的條件,但尚有交易意愿,乃將原報價修改,或附加新條件,再反過來向原報價人是出新報價。法律上視為‘新約’;貿(mào)易實務(wù)上則視為‘新報價’,此時原報價則失效。
buying offer 購貨報價
這是買方為購買貨物,主動向賣方發(fā)出的報價。又稱"purchasing offer"或"bid"(出價)。與"selling offer"正好相反。
the offer is valid until... 報價有效期限到...

firm offer 確定報價,穩(wěn)固報價
"firm",‘穩(wěn)定的、確定的’。"firm offer"即平常所謂的"offer",是目前國際上通用的報價方式。‘穩(wěn)固報價’在報價單上載明了接受期限,并規(guī)定在期限內(nèi),所報出的'各項條件都不得改變。因此被報價人只要在期限內(nèi)接受,契約即告成立。而一旦對方有效地接受之后,報價之不得拒絕訂立合約。

"subject",在此為形容詞;"subject to",‘依照,視...而定’。"reply",‘回答’。此句后面加上時間,用于規(guī)定接受報價的期限,例如:"subject to your reply being given within one week"(一星期內(nèi)答復即視為確定報價)。
withdraw one's offer 撤回報價
"withdraw"‘撤回’。報價在被接受前,報價人得隨時撤回。撤回的通知,須在對方發(fā)出接受通知之前抵達到對方。如在對方‘接受報價通知’發(fā)出之后,則撤回無效。撤銷(cancellation)則不同,它是指報價生效后撤銷報價,使之無效的行為。
